TERMS OF SERVICE AGREEMENT

This Terms of Service Agreement (hereinafter referred to as the “Agreement”) is between SQUARE FOOT SHOW, LLC (hereinafter referred to as “SQUARE FOOT SHOW”) and the participating artist (hereinafter referred to as “you” or “your”).

Effective Date: This Agreement becomes effective upon your acknowledgment on the SQUARE FOOT SHOW website.

OVERVIEW

This Agreement governs your participation as an artist contributor in virtual and/or in-person art shows (collectively referred to as “Events”) organized by SQUARE FOOT SHOW. By agreeing to these terms, you accept the obligations and compensation terms outlined herein, which will apply to any and all Events you choose to participate in.

Specific details regarding individual Events (e.g., event dates, submission requirements, pricing, and promotional obligations) will be provided in supplemental event-specific documents or notifications, which you agree to abide by upon registration or participation.

Your participation in any Event becomes valid upon your explicit acceptance, as outlined in the Artist Acknowledgment and Acceptance section below.

ARTIST ACKNOWLEDGMENT AND ACCEPTANCE

Participation in any Event organized by SQUARE FOOT SHOW requires explicit acceptance of the Event-specific terms provided by SQUARE FOOT SHOW. These terms, including but not limited to event dates, submission guidelines, artwork requirements, and compensation details, will be made available to you prior to each Event.

Your participation in an Event becomes valid upon your acceptance, which is considered legally binding and confirms your agreement to fulfill the obligations outlined in this document and the supplemental Event-specific terms.

Acceptance is completed when you:

  1. Acknowledge the Event invitation and confirm your intent to participate via the method provided (e.g., online platform, email response).
  2. Submit the required materials and agree to any additional Event-specific terms provided.

If you fail to formally accept the terms for a specific Event, this overarching Terms of Service remains in effect but does not obligate either party for that Event.

SQUARE FOOT SHOW OBLIGATIONS

SQUARE FOOT SHOW agrees to:

  1. Operate, promote, and manage Events, including:
    • Launch and maintenance of eCommerce platforms for each Event.
    • Communication with artists regarding participation and logistics.
    • Issuance of payments to artists as outlined in this Agreement.
  2. Cover all costs associated with the production and promotion of Events, unless otherwise mutually agreed upon.
  3. Provide artists with buyer contact and shipping details within five (5) business days of Event conclusion.
  4. Notify you prior to producing ancillary merchandise featuring your images, with compensation and citation terms as outlined below.

ARTIST OBLIGATIONS

As a contributing artist, you agree to:

  1. Submission Deadlines: Provide digital-display resolution images for each piece for sale no later than fourteen (14) days prior to the start of the Event, unless otherwise specified in the Event-specific terms.
  2. Shipping Timelines: Ship sold artwork to buyers within ten (10) business days of receiving buyer contact information, unless otherwise specified in the Event-specific terms.
  3. Comply with international shipping guidelines. If buyers are charged customs/duties due to non-compliance, you agree to refund those charges to the buyer.
  4. Allow SQUARE FOOT SHOW to use your name, likeness, and submitted images for Event promotion and ancillary merchandise, with compensation and citation terms as outlined below.

COMPENSATION

Artists will receive:

  1. Sale of Artwork: You will receive 60% of funds received for the sale of your paintings, which must be shipped at your expense per the instructions provided.
  2. Ancillary Merchandise: Compensation as follows:
    • 25% of net profits from ancillary merchandise featuring your work exclusively.
    • An equal share of 25% of net profits for ancillary merchandise featuring your work alongside others.

Net profits are defined as total receipts per unit minus the cost of manufacturing and delivery.

EVENT PARTICIPATION

Each Event may have unique details such as dates, artwork requirements, pricing, and promotional expectations. These specifics will be provided to you in advance through supplemental documents, email notifications, or other means. Your explicit acceptance of these terms is required for participation.

PROTECTION OF CONFIDENTIAL INFORMATION

Without SQUARE FOOT SHOW’s written consent, you will not directly or indirectly disclose or use any trade secrets or other confidential information obtained through participation in Events.

INTELLECTUAL PROPERTY

SQUARE FOOT SHOW retains all rights to the use and application of ideas, processes, procedures, and materials used in developing and/or producing Events.

FORCE MAJEURE

Neither party shall be liable for failure to perform due to causes beyond their reasonable control, such as acts of nature, government actions, or other unforeseen circumstances.

TERMINATION

Either party may terminate this Agreement or participation in a specific Event prior to the Event’s start.

  1. Termination by Artist:
    • Your name and information will be removed from the SQUARE FOOT SHOW website.
    • SQUARE FOOT SHOW will not remove prior social media posts.
  2. Termination by SQUARE FOOT SHOW:
    • You will receive proceeds from sales and ancillary merchandise as outlined.
    • Your name and information will be removed from the SQUARE FOOT SHOW website within five (5) business days.

DISAGREEMENT

Disputes will be resolved through informal binding arbitration. Both parties agree to submit up to five (5) pages of material to a neutral arbitrator and abide by their decision.
